BitBoys Oy To Acquire NVIDIA Core Graphics Assets

Helsinki, Finland – April 1, 2001 – Bitboys Oy® today announced that it has signed a definitive agreement to acquire certain graphics related assets of NVIDIA Corporation (Nasdaq: NVDA), a global leader in advanced graphics & multimedia processing technology for the consumer & professional computing markets. These graphics related assets include, but are not limited to, patents, pending patent applications, trademarks, brand names, & chip inventory related to the graphics business of NVIDIA.

Under the terms of the agreement, Bitboys will pay to NVIDIA a total consideration of €170 million in (Monopoly) money & 500,000 million shares of non-existent stocks. The asset acquisition has been approved by the Board of Directors of each company & is subject to NVIDIA shareholder approval, the satisfaction of regulatory requirements & other customary closing conditions. This acquisition will be accounted for as a purchase & is expected to be complete in the imaginiary first quarter of Bitboy Oy's fiscal year 2002.

NVIDIA executives will conduct a conference call on Monday, April 2, 2001 at 7:00AM, Pacific Time about the shock purchase of NVIDIA's core assets. Reactions

Ex-NVIDIA Public Relations person, Brian Burke (Who only announced his leaving of NVIDIA for Bitboys Oy mere hours before this announcement) had the following the say about the Acquistion - Regarding what exactly is being purchased under the terms of the Acquistion & how this effects the semi-recent 3DFX core asset purchase by NVIDIA;

The Acquistion is of their (NVIDIA) core assets, which includes their patents, patent pending applications, trademarks, branding, & inventory related to the graphics business. Gigapixel was a company who was purchased by 3dfx, who was then purchased by NVIDIA. We have purchased NVIDIA's core assets, so that means we have access to whatever technology might've been developed by all 3 companys. The three transactions were different in that the 3dfx/Gigapixel transaction was a complete buyout of the company, while NVIDIA merely purchased 3dfx core assets. Today's announcement is that Bitboys has only purchased the core assets of NVIDIA, so I want to make it clear that it's not a complete buyout.
