Case and CPU are fine. Without knowing more about the rest of your system or the actual PSU specs it's hard to comment. It *should* be fine, but chances are it's a cheap PSU.

Go for a Socket AM2 Based Processor and Motherboard and DDR2 RAM. You should find a similar price if not cheaper.

AMD Athlon 64 X2 3800 - $340

price dropped hard on those, that now costs 169.99 or 179.99 check newegg.com

Athlons are a good buy now, but I'm not sure you'll be better off with an X2 compared to the Conroe.

Price wise at this Processor range, yeah, you'll probably be better off with the AMD because of the price of Conroe motherboards.
