System reboot unexpected

please guide me what to do for my laptop

I have a problem with my new Windows Xp Sp2:
when my laptop is working, it suddenly face to a blue screen and a error message appear with some code like below and will go for restart:

BCCode: 100000d1 BCP1: 35322E35 BCP2: 00000002 BCP3: 00000008 BCP4: 35322E35 OSVer: 5_1_2600 SP: 2_0 Product: 256_1

and sometimes when windows is working even by JetAudio, suddenly the screen becomes dark and you can hear a sequential beep from laptop and you have to just turn it off manualy frome power key.

0xD1 errors are caused by either a faulty driver or buggy software. But what driver and/or software we don't know at this point.
