Windows 7 Ultimate 64bit upgrade / full difference

  1. Here is my issue...
    I have 2 p.c's one I bought a full version of Windows 7 Ultimate 64 Bit for and the other (which had vista premium 32bit on it) I purchased Windows 7 Ultimate upgrade which came with both 32 and 64 bit discs.
    The 1st PC hard drive died so I bought a new drive and want to install windows 7 back on it but I cant locate my win 7 ult 64 full disc. I have the plastic box and the paperwork and CD key just the disc is missing.
    On the 2nd pc I installed the 32 bit win 7 ultimate upgrade and have a win 7 ultimate 64 upgrade disc still.
    Can I use the upgrade disc to reinstall windows 7 ult 64bit on my 1st pc and just use the Full CD key that came with the Full version of the OS I bought? or do I need to go buy another full windows 7 ultimate disc?
    The first pc drive is brand new and has no operating system on it at all.
