Looking for some motherboard advice

I have a Dell 8200 and am looking for a recommendation on a replacement motherboard with CPU that would allow me to use the 2GB of RAM currently in the computer (533 FSB) and also the two 75GB IDE hard drives.
 
If you want a non dell mobo then you will also have to buy a new case.

You will also not be able to use the dell windows cd so you will need a new one of those too.
 
common problem with dell - the DO make it so that you can't upgrade, you have to buy it off them for about 4x the price.

If you upgrade motherboard you may need a new case, but the case doesn't seem to be right:
