help on freezing issue

I just recently built a computer and took it to a friends help to upgrade some of the programs and make it as good as it was capable of. When we were finished my friend suggested downloading 3Dmark05 and see how it does.(we knew that 06 would be too much for the CPU) While running the program, it froze about 3/4 the way through.
Ever since then with the slightest overclocking turned on, it freezes when trying to download, watch video, or process anything big at all.
Is the problem definately the processor, or could it be something else.
By freezes, i mean it "freezes". Doesn't shut off, doesn't go black, just freezes image that was on screen.
comp specs.
2.0GB RAM
200GB HDD
256MB ati radeon 9550(not very good)
AMD 64 3000+(1.81Gz)(also weak)

any suggestions?

The obvious advice is, don`t overclock.

However, ocing amd64`s is a little different. Take a look HERE for further info.

Ya, I have stopped overclocking, but this does not give me the performance that I am looking for. Before I could overclock with no problems. Is it time to get a new processor, that does not need to overclock in order to meet my standards?

That would certainly be one way of improving performance.
