Installing a Retail CPU

Quick question. I am about to install a retail CPU on my mother board. Do I have to put some sort of substance between the heat sink and the chip, or is the square piece of "rubber" looking device enough? Its an AMD 3500+. Thanks for any help you can give me.

I just finished building a computer for a friend with an AMD64 3200 cpu.

It also came with the rubbery substance you mentioned. I just cleaned it off and use some Arctic silver thermal paste instead, and it works great.

You can however use it just as it is if you wish.
