I am running-

AMD Athlon 64 3700+ 2.4GHz (Rated at 3.7GHz).... :)
1.5GB RAM
7200RPM 160GB Seagate SATA drive (fast)
HP DVD-Writer (Works fine)
Samsung DVD-ROM Drive (Fine)
Media Card Reader.. (HP's But works fine)
Inno3D 7600GS 256 (DDR2) AGP (Works great for games in XP)
Creative Sound Blaster 2ZS (Fine but I am only using headphones :p)
PCI Modem (Taking Up space....)
TV Tuner Philips (HP's Conexant 2388x Blackbird) Works in Vista!!

What got me worried is that I ran the Cnet reediness check and their standards seemed very high and my computer from their point of view should only run Vista Basic... But ATI reediness said opposite and so did the Microsoft Reediness check they both recommended Home Premium or Ultimate

This may just be a worry but what are some of your thoughts??
Should I sell flat out and take a hit on the price or will I be alright with this current rig.. Thanks!

IMO, Stay with the AMD, The Athlon is WAY better than the Intel lines. And I made a mistake, you'regoing for the D line, It's the low end of the pentium line I believe, I'd only go intel for the Core 2 Duo or the Xeon.

Your current computer is more than enough to run any version of vista. No problems what so ever.
