AMD's CPU do not have heat isses, however the old Palamos ran a tad hot. As Didou said the stock/retail coolers that come with the CPU (if you buy the cpu retail) are very quiet. I would go AMD because if you are worried about heat/noise your not going to be OCing a 2.4, and with AMD essentially your going to save yourself a ton of money, get great performance, and all-in-all get a good bang-for-buck
