pc keeps rebooting...

Hi guys, hope someone can help with my little problem...

my pc keeps rebooting itself, it starts to load windows,...ie you get the windows screen with the scrolling bar, then just before the login window appears, it reboots. It also reboots in Safe mode.
if I disable auto-reboot from startup menu (F-8) I get a STOP: c000021a {fatal system error}.
I have tried recovery console aswell, as soon as it trys to logon through RC, it also reboots....
Help !!
