Intermittent Restart with Blue Screen Error

I have a problem wherby my PC intermittently restarts itself for no apparent reason.
The only clue i have to follow is an entry in the System event log saying:
System Error:
Error code 1000008e, parameter1 c0000005, parameter2 80551211, parameter3 f64b5b94, parameter4 00000000.
I have done some digging but there are so many similar errors out there none actually relate to this that i can find. The PC otherwise works fine.
The PC is up to date with Windows Updates and has latest virus defs installed, and a scan shows nothing.
The Spec:
P4 Dual Core, 1GB RAM, 80GB HDD, Win XP.
Can anyone help me?

0x8E errors are due to hardware issues. But we don't have enough information to determine which one(s). So...

1. Run Memtest on your RAM for a minimum of 7 Passes. Any errors and your have to replace your corrupted memory. www.memtest.org

2. Do a harddrive diagnosis by using the free utility from your harddrive manufacturer. Make sure you run the Long Test.

* Let us know what the results are.

Thanks and there is a lot of truth to the title. If you want to see what a socialist agenda/legislation can do to a state and why it is bad for the U.S. as a whole, move to New Jersey. It has the higest car insurance in the nation, taxes their people incessantly, and ranks in several catagories as one of the top 5 highest cost of living anywhere. In a recent in-state poll over 60% of the people stated they would move out of the state -- if they could.

By thew way, I lived in the Friendswood/Clear Lake, TX area for 5 years from '89-'93.

Okay, sorry, you're right. Now, can you tell me if you have done what I suggested in my earlier post or not (I quoted it). If you get passes in both or not we need to know this information. As I said earlier, there is not enough information to go on as to a solution and since this is an 0x8E error and they are caused by a hardware issue (rarely by a driver) these two tests are standard troubleshooting. Or you can read the sticky in this forum by Julio and follow that advice.

I have not had a chance to run the memtest yet, have been really busy.
I will do this over the weekend/beginning of next week and post the results if there is anything out of the ordinary.
