Help with usb

I am having a problem with my usb card. I just installed a usb 2.0 PCI card but it still seems as though Windows XP is seeing 1.1. When I plug in my Mp3 player my computer acts like it doesn't want to read it. I have read that Windows SP1 or SP2 solve the issue but that is where my real problem lies. When I download either it tells me that my product key is bad. Is there another way around this? Please help...

My only thought would be to download the distribution file of SP2 (about 150Mb) and run that. Did you activate Windows or did you buy your computer from a company that already activated it?
