I have it on cd but when i try and boot it up i get that message. At the moment i'm just running XP i was wanting to upgrade my OS.

    "Windows Setup"

"The option to upgrade will not be available at this time becasue Setup was unable to load the file D:/i386/WINNTUPG/NETUP.GRD"

    System cannot find the file.

"Serial should be in the .ifo file once burned to a disc."

In order to install xp sp2 black edition without asking for passwords you will have to make a clean install only and everything should work fine

    Yes

Because the Black Edition comes with programs already installed
