PC starts buts shuts down after 2 seconds

I'm having a problem that I'm clueless about.
Today I found my pc frozen. It was running but I couldn't do anything. So I rebooted and it shut down.
When I turn it on, all the fans and HD start up and then it powers off.
I slowly removed all the components one by one and tested in between with no luck. Always powers down after about two seconds, even if it was mobo and cpu.
Interesting thing though is, that if I remove the cpu, the mobo is running fine, it doesn't shut down. But no beep or anything that would let me know that the cpu is missing. Strange.
I have replaced the power supply for new one and more powerfull, no change.
And I did all the tests with the mobo out of the box, on a paper surface.

It's a AMD athlon 64 2.2 AM2 on ASUS M2N AM2 mobo.

I would appreciate any suggestions!

supersmashbrada,
you won't overload a CPU unless you overclock or you have improperly chosen or installed the CPU Heatsink and fan
