Windows XP BSOD when shutting down

Here's the message that comes with it:

BCCode : f4 BCP1 : 00000003 BCP2 : 8533BB98 BCP3 : 8533BD0C
BCP4 : 805D2954 OSVer : 5_1_2600 SP : 3_0 Product : 256_1

And it occurs ONLY when I shutdown.
Starting up is not a problem, so is when using the laptop.

Minidump file "Mini060712-01.zip" uploaded. Please help tell me what is wrong and what I need to do to fix it. Fyi, I have done chkdsk /F /R and the result is all clean. Thanks.

Uninstall McAfee and install:
http://windows.microsoft.com/en-US/windows/products/security-essentials
See if the BSOD's stop

Hi..
Uninstall McAfee - done
Install ms security essentials - done
Quick scan after installation found few threats, apply action to remove.
Run a full scan and found few more threats, apply action to remove also
Run a quick scan after that, no more threats found.

But.. BSOD is still there when shutting down.. is the problem still there? Or need more time until it disappears?
Attached is the latest minidumps occuring after each BSOD.
