laws concerning admin pw

I have a client (a law firm) using a Nitix Type II server. The former administrator has been canned due to poor client pc maintenance; unfortunately, he refuses to give up the admin password until he is paid for outstanding invoices which the law firm is disputing.

So, here's the simple question: who owns the password?

I would assume, logically, that the owners of the equipment, software, and intellectual property own the password.

I am just wondering if anyone has encountered this before, or if anyone knows anything, in general, about technology law.

We suggested sending a certified letter telling the old admin that he would be charged for the expense of us cracking the password if he refuses to turn it over (or else the hourly charge of resetting and redoing all of his setup work on the server).

Regardless, what would you do if you were in this situation?

IANAL, but I think this goes under theft.. The ex-admin has taken from his employer the ability to use (to the full extent) their equipment/software.

Pretty much the same as stealing someone's car keys or cutting the power line.
