Can anyone tell me the difference between the two, any pros and cons, and which would give me better performance on my system.

The CPUs are exactly the same. However the top one comes with a CPU cooler while the bottom one doesn't.

Also you have an AGP motherboard don't you. It would make more sense to upgrade to a PCIe motherboard.

Thanks for the reply,I believe the board also has 3 PCI slots. I wasnt sure if they were the same the way they described them. I wouldnt need the one with the fan, I just picked up a Cool Master Hyper 48 fan.

Also what power supply do you have? It would suck to buuy those new components just to end up having to wait again to get a new PSU.

Its a L&C 450w power supply

Yes It is an AGP board, I misunderstood the PCI(e) as PCI.
