Ricohrl5c475 pci to pcmcia problem in xp

i have ricohrl5c475 pci to pcmcia for desktop. when i put it in any pci slot and turn pc on it shows "code12" error in device manager and also wrote" the device dont find enough resources to use , try disabling other device".

i have asus k8n socket754 motherboard with 64 bit asus 2800+, nvidia chipset, ami bios latest updated.

this card works on my friends pc's. i cant understand whats wrong.
