XP reboot - memory dump

I have a Packard Bell celeron 2.1Ghz, 256Mb DDR, SiS650 integrated grphics which only gets to the first windows splash then does a physical memory dump and reboots. The blue screen doesn't stay up long enough to read the error. Have tried repair install, recovery console chkdsk /r, fixboot, fixmbr, reloaded ntldr and ntdetect and tried another ram stick. Obviously no luck at this time. Any ideas folks would be greatly appreciated.
 
1. check ram with memtest 86+ booted from a floppy
2. check PSU with a tester
3. check CMOS battery & replace if necessary
4. check drivers
