SiriusXM to become world's largest audio provider by acquiring Pandora

What just happened? SiriusXM is scooping up Pandora for a cool $3.5 billion deal making it the world's largest provider of audio streaming services. Diversification of revenue streams and Pandora's greater technological prowess are the main reasons for the acquisition.

In an all-stock deal, SiriusXM is now acquiring Pandora at a valuation of $3.5 billion. After the deal is finalized, Pandora and SiriusXM will continue to operate as independent brands and services. Pandora's revenue for the third quarter is expected to be between $390 million and $405 million.

Under the terms of the merger, Pandora stock holders will receive 1.44 shares of SiriusXM for each of their existing shares. Using a 30-day weighted average of $7.04, the expected new value is approximately $10.14 per share resulting in a net gain of 13.8 percent. SiriusXM already owns 15 percent of Pandora's convertible preferred stock.

Following the completion of the deal, SiriusXM will become the world's largest provider of audio entertainment. There are currently 36 million subscribers to SiriusXM with another 23 million will have tried out trial offers by the end of the year. Adding in Pandora's 70 million monthly users is enough to surpass Spotify and Apple Music.

The purchase will allow SiriusXM's satellite radio service to benefit from Pandora's strong mobile use and its advertisers. Instead of trying to push satellite radio for home and mobile use, Pandora will be a much more attractive option to consumers and helps diversify revenue streams.

Even though the merger poses few obvious benefits for listeners, artists do have something to look forward to. Instead of negotiating deals with multiple platforms, SiriusXM will be able to deliver new music to hundreds of millions of users across their entire portfolio of services.

SiriusXM expects to post revenue of more than $7 billion in 2018 including revenue generated from Pandora.

I'll stick with spotify. I use to use pandora, but their "suggestions" were not near as good as spotify has been for me.
 
Pandora still is and will always be hot garbage. Spotify is king in all regards.
 
I tried Spotify for 3 months and let the subscription term because it wasn't able to give me a good genre based 'radio' experience. If I wanted to create my own playlists (or rely on other peoples playlists) maybe it would have worked out but I'm not interested in that amount of effort. I want to hit my genre station and just forget about it. What I got from Spotify was a playlist that was static, week after week. It wasn't even in a random order and had about 100 songs. Once created, it never added anything new, never rotated things in or out. Just kept playing those same songs in the same order.

In Pandora, I've created a few stations, based on genre and seeded with some artists years ago and that process is still providing me a better product on those stations than what I got from Spotify. I get a somewhat consistent playlist that varies week to week. Pandora's not a service for everyone. I realize that and for many the Spotify system is their go to. That's cool, we don't all have to like the same thing.

Other sources say it was $3 billion... but whatever... the stock of Pandora today is now down and the company could be bought for about $2.4 billion. Pandora investors aren't happy their company just got bought by Sirius XM. I don't know why...

I think this is cool - I've had SiriusXM in the past - now maybe I'll get a flyer in the mail that says I'll get a free Pandora subscription with my SiriusXM sign-up!

For what it's worth the source here is SiriusXM directly. It would be pretty nice to see Pandora have a few more promos once in awhile.
 
I was a diehard Pandora fan for years, but honestly their channels algorithm got old to me. I also didn't like their cost escalation over the years. I switched to iHeartRadio almost 5 years ago and have their Plus subscription. I couldn't be happier. After switching to it I feel that Pandora, SiriusXM, and Spotify are hot garbage. They all have serious flaws to me; be it playlist/channel algorithm or requiring too much effort. I am in my mid 40s and I just want to listen to music; not eff around with building playlists or giving crap thumbs up/down. Case in point; iHeart80s Radio kicks ***... Pandora's, Spotify's, and SiriusXM's pale in comparison. SpinCycle is far and away better than what BPM has become on SiriusXM. I loved Sirius back on the day, but when they merged it became sour and ad riddled.
