SP2 upgrade problem on new system w/abit mobo

I need help. I recently built a brand new computer after years of being behind. It all went together perfectly and started on the first try. I used my original Windows XP CD from my previous setup and loaded the OS onto the new rig. No problems. Started getting the first wave of updates for MSoft. No probs. Then I get to the SP2 upgrade. It downloads, installs, and appears to restart. The blue lines go on the entry screen then a flash of a blue screen(error) and quickly back to bios screen and reboot with option for safe mode etc.

Tried several times after restoring without luck. Runs like a charm in SP1, but I feel stuck there. Also, same restart happened when I loaded free version of AntiVir and tried SP3. Any suggestions would be appreciated.

Setup:
Abit IP-35 Pro Mobo
Q6600 Cpu
4Gb (2x2)G-skill memory
WD 640GB Sata HDD

Confirm all drivers are loaded from your manufactures support page

Also run Memtest on your Ram
(Run memtest at least 7 times for a thorough test)
