My pc freezes after installing new core 2 quad processor on cuba ms- 7301 motherboard

my pc freezes after installing a new core 2 quad processor...pls what myt be de cause..... And i need to to also update my BIOS but i cant find the update anywhere as Packard Bell dont have
it on there site as its an older system.
Specs are:
Packard Bell BV cuba ms-7301 ;
BIOS: Phoenix Technologies, LTD W7301VP2.025 10/13/2006
Windows 7 Ultimate 32-bit
Enclosure Type: Desktop
2.4 gigahertz Intel Core 2 quad Q6600

Bus Clock: 266 megahertz
BIOS: Phoenix Technologies, LTD W7301VP2.025 10/13/2006
Listed as much as i can to help someone help me, as i need this update badly.
