Pop up that memory could not be read

hello,
I have been continually getting a pop-up that

svchost.exe- Application Error
the instruction at "0x5ba1bdc3" referenced memory at "0x00000000".
The memory could not be "read"
Click ok to terminate the program
Click cancel to debug the program


I have researched for hours online and have seen people with the same sort of pop up, but nothing exactly like mine
Also, I have been having problems with my sound card. Not sure if they are connected
I have a dell with windows xp professional media center edition

Any help would be greatly appreciated

you should try opening it manually

if i hit okay, my computer freezes and i can't even turn it off
if i hit cancel, it disappears for a few minutes but always comes back

test your ram with memtest 86+ booted from a floppy or CD
