I think you may be noticing that the asrock has it's cpu socket rotated 90 degrees compared to the stock dell board. It also looks like the dell mb uses a slightly different heatsink mounting method than a standard socket 478 board. If the dell heatsink won't work, it shouldn't be a big deal, you can probably get a decent cheap heatsink and thermal paste for under $25 usd.
