WinXP goes blank after splash screen and computer beeps continuosly after that-HELP

Hi All,
I have been struggling with this problem for more than a week now.
I bought a new video card Conquerer FX5200 Plus (nvidia). After I put it on the mobo and I start up the computer winxp splash screen appears and then it goes blank and there is a continuous short beeping sound. It keeps on going till I do a hard power off.

So I thought Windows is conflicting with earlier drivers and I did a clean XP install once again. The problem still exists.
I tried starting it in safe more and then it stops at loading AGP440.sys and again makes the same sound. So I went ahead and disabled AGP440.sys.

Now Xp boots up and I can do everything but I cannot use any characteristics of the video card. It uses the crappy VGA driver.

Please help me what should I do.

My system:
P4 3.2 GHZ Intel Processor
ASUS P4p800 SE Mobo
Conquerer FX5200 Plus (nvidia) Video Card
Corsair valuselect 2x512 MB DDR 400 RAM
400W power supply.

Hello and welcome to Techspot.

Download the latest drivers for your graphics card and see if that helps.

Also check to make sure that the card is seated properly in it`s slot.

You may also want to consider clearing your cmos.
